Important Notice: New PASF Bylaws
The By-laws Committee of
PASF’s Board of Directors has
approved and recommends a re-
vised version to go into effect in
the 1980-1981 school year.
Below is the full text of the new
PASF By-laws. Study it carefully!
Before it can be enacted, it must be
ARTICLE I
General Provisions
Section 1. NAME. The name of this
organization shall be: THE PAN
AMERICAN STUDENT FORUM OF
TEXAS (EL FORO PANAMERI-
CANO ESTUDIANTIL DE TEXAS).
Section 2. MOTTO, COLORS,
EMBLEM, PIN AND SEAL, (a) The
motto of this organization shall be: “De
una sangre El ha hecho todas las
naciones.” (“Of one blood hath He
made all nations.”)
(b) The colors of this organization
shall be: blue, white and gold.
(c) The emblem of this organization
shall be: the two continents with the
letters of PASF OF TEXAS (see cover
of handbook).
(d) The pin of this organization shall
bear the emblem.
(e) The seal shall be the same design
that is used for the pin. The seal of the
Forum shall be placed on all official
documents and papers.
Section 3. PURPOSE, (a) The Pan
American Student Forum of Texas is
educational and cultural in its aim and
purpose. It serves its members as a
medium of exchange in the study and
treatment of subjects of mutual interest
relating to the language, history, and
background of all the countries in-
cluded in the American group of na-
tions. It is non-religion, non-political
and non-commercial in the objectives.
(b) The Pan American Student
Forum of Texas encourages a respect
for all peoples in the Americas and an
understanding of them based on a more
thorough knowledge and appreciation
of the cultures of all countries of the
Americas.
(c) To achieve these purposes,
methods and programs are put into op-
eration through extra-curricular activi-
ties designed to supplement classroom
work but not detract from such work.
Section 4. FISCAL YEAR OF
PASF. The fiscal year of the Pan
American Student Forum of Texas is
from September 1 through August 31 of
each year. (This will coincide with the
state’s fiscal year.)
Section 5. MILEAGE. The Board of
Directors meet at least two times dur-
ing their tenure of office and are reim-
bursed for their travel to and from the
meeting site at a rate fixed by the
PASF Central Office.
Section 6. ROBERTS’ RULES OF
ORDER. In any case of parliamentary
procedures not prescribed by the
Bylaws, Roberts’ Rules of Order, Re-
vised, is the authority.
ARTICLE II
State Sponsorship
Section 1. SPONSORSHIP. The Pan
American Student Forum of Texas is
under the sponsorship of the Good
Neighbor Commission of Texas, as
provided in Article 4101-2, Vernon’s
Civil Statutes, as amended.
Section 2. HEADQUARTERS. The
headquarters of the Pan American Stu-
dent Forum of Texas are in the offices
of the Good Neighbor Commission of
Texas in Austin.
ARTICLE ni
Functions of the Central Office
Section 1. PASF CENTRAL OF-
FICE. The Pan American Student
Forum of Texas, through its Central
Office staff, who shall be an ex-officio
member of the Board of Directors,
shall have the following functions:
(a) To maintain a bureau of corre-
spondence for the exchange of ideas
and opinions which would help stu-
dents, teachers, and others develop a
better spirit of appreciation and respect
for peoples of all the Americas. See Ar-
ticle VII, Section 5.
(b) To send each chapter of the state
organization one copy of the program
bulletin.

House of Delegates at Convention
in accordance with Sec. 1, Art.
XIV of the existing by-laws. This
is a matter of utmost importance.
So be prepared to cast your vote at
Convention.
(c) To send a copy of the minutes of
the state convention and of any action
taken by the Board of Directors to each
local sponsor.
(d) To publish the official
newspaper. This periodical is pub-
lished and distributed to all members of
the Pan American Student Forum of
Texas. It contains news stories from
members of the forum, news of student
activities from the various chapters, in-
formation on interesting places and
people connected with Latin America,
and suggestions for program commit-
tees. As far as possible, it is a bi-lingual
publication.
(e) To cooperate with the publicity
chairperson in acquainting the general
public through the press, radio-TV,
talks, and conferences with the aims
and purposes of the Pan American
Student Forum of Texas.
(f) To assist the local chapters in
their efforts to make a worthy contri-
bution for the cause of Pan Amer-
icanism in Texas through advice,
suggestions for improvement, or other
suitable projects.
(g) Accepts application for member-
ship and sends certificates of member-
ship to school chapters.
(h) A Central Office staff member
shall serve as chairperson of the
Scholarship Committee.
Section 2. The Executive Director of
the Good Neighbor Commission shall
designate the necessary staff personnel
to coordinate PASF activities.
ARTICLE IV
Membership
Section 1. STATE MEMBERSHIP,
(a) In any junior or senior high school
in Texas, eight or more students under
the sponsorship of one or more
teachers, may be organized into a
chapter. (When the sponsoring agency
considers it desirable, approval may be
given to similar groups in Latin Amer-
ican schools seeking membership.)
(b) A chapter is defined as the total
number of PASF members in one
school regardless of the number of un-
its. A unit is defined as one or more
subdivisions of a local chapter.
(c) The formation of council-
districts with the purpose of supple-
menting the work of the state organiza-
tion and consisting of member chapters
of the Pan American Student Forum of
Texas is encouraged, provided the
council-district operates within the
framework of the state bylaws. Mem-
bership in council-districts is not com-
pulsory.
(d) Each school chapter shall draw
up its local bylaws and then apply for
membership in the state organization,
thus signifying the acceptance of the
state bylaws.
Section 2. LOCAL MEMBERSHIP,
(a) School chapters classify their
members as active or associative. Ac-
tive members are students and the
sponsors actually enrolled in the
school where the chapter is located.
Alumni, teachers other than the spon-
sors, and adults interested in Pan
Americanism are associate members.
All members (both active and as-
sociate) are expected to pay dues.
(b) Associate members are invited
to local chapter meetings because of
their recognized ability and their actual
interest in Pan American affairs.
(c) At least 75 percent of the mem-
bership of any local chapter must be
active members.
(d) Each local chapter must have at
least one adult sponsor who is a
member of the organization.
ARTICLE V
Officers
Section 1. The officers of the Pan
American Student Forum of Texas are:
the president, the first vice-president,
the second vice-president, the record-
ing secretary, the state sponsor, the
state program director, the educational
activities director, the publicity direc-
tor, and seven directors.
Section 2. The parliamentarian for
the state convention shall be named by
the Board of Directors.
Section 3. The officers and directors
listed in Section 1 of this article com-
pose the Board of Directors of the Pan
American Student Forum of Texas.
ARTICLE VI
Tenure of Officers
Section 1. The president, the vice-
presidents, the recording secretary, the
state sponsor, the program director,
the educational activities director, and
the publicity director, and seven direc-
tors are elected for a period of one
year, June 1 to May 31, and are not
eligible for re-election to the same of-
fice with the following exceptions:
(a) The recording secretary, state
sponsor, state program director, educa-
tional activities director, publicity di-
rector, and seven directors may be
elected to serve one more year for a
total of two consecutive years.
(b) After a lapse of four years from
the preceding period of service, the
state sponsor, state program director,
educational activities director, and
publicity director, and four sponsor di-
rectors are eligible again for these of-
fices.
Section 2. A student member of the
Board of Directors may run for another
office after a lapse of one year.
Section 3. No more than one student
member per local chapter shall be
elected to serve on the Board of Direc-
tors in any one year.
Section 4. Student officers shall not
hold state office concurrently with a
district and/or local office.
ARTICLE VII
Duties of Officers
Section 1. DUTIES OF PRESI-
DENT. The President shall oversee all
programs and activities of the PASF
and shall preside at the state conven-
tion and perform such other duties as
required in carrying out the program of
the convention, and shall preside over
the Board of Directors and shall ap-
point all committees with the assis-
tance and approval of the Board of Di-
rectors. In addition, the President
shall:
(a) Work closely with Program Di-
rector and help execute plans.
(b) Assist the Central Office in all
decision making matters and especially
in the planning of the convention.
(c) Assist the Scholarship Commit-
tee in their deliberation.
(d) Assist the Activities Committee
Chairperson to contact schools to do
workshops at convention.
(e) Assist the Membership Commit-
tee Chairperson to recruit new schools.
(f) Assist the State Projects Com-
mittee Chairperson to encourage chap-
ters to make contributions to the State
Projects.
(g) Assist the Resolutions Commit-
tee Chairperson and help prepare reso-
lutions to be read at convention.
(h) Assist the Nominations, Creden-
tials, and Elections Committee
Chairperson, and see that the candi-
dates and the elections are handled in
accordance with these bylaws.
(i) Assist the Bylaws Committee
Chairperson.
(j) Keep in constant touch with all
committee chairpersons at all times.
(k) Prepare President’s Corner for
every issue of the Pan Am Times and
Call to Convention for pre-convention
issue.
0) Plan agenda for Board of Direc-
tors meetings in conjunction with the
Central Office.
(m) Preside at all meetings and have
a working knowledge of Robert’s Rules
of Order.
(n) Write a letter of welcome for en-
rollment packet to be mailed to all
chapters in August.
(o) Assign the chairmanship of the
nominations, credentials, and elections
committees to the three student direc-
tors.
(p) Designate the sponsor directors
as assistants to the State Sponsor,
State Program Director, Educational
Activities Director, and Publicity Di-
rector.
Section 2. DUTIES OF FIRST
VICE-PRESIDENT. The First Vice-
President shall serve as Chairperson of
the Membership Committee and shall
devise plans to increase the member-
ship of the organization in the follow-
ing manner:
(a) Submit a plan to the Board of Di-
rectors for their approval at the first
meeting following the state conven-
tion.
(b) Compose letter to be sent to
prospective schools in late August by
Central Office (enclosures: copy of Pan
Am Times, PASF brochure, brief de-
scription of State Projects).
(c) Write articles for Pan Am Times
asking chapters to help with the mem-
bership drive.
(d) Work closely with Central Office
on membership drive.
(e) Write letter to existing chapters
asking for them to contact and visit
prospective schools in their area. This
letter will be included in the enrollment
packet sent to all chapters in August.
(f) Encourage the forming of PASF
Districts.
(g) Work with President and Pro-
gram Director where needed.
Section 3. DUTIES OF SECOND
VICE-PRESIDENT. The Second
Vice-President shall serve as
Chairperson of the State Projects
Committee and shall:
(a) Submit a plan to promote State
Projects at the first Board meeting for
approval.
(b) Write letter to existing chapters
encouraging them to make donations to
the State Projects including the Myrtle
L. Tanner Scholarship Fund.
(c) Write articles for Pan Am Times
encouraging chapters to have local
community service projects.
(d) Keep detailed records of all
chapter contributions to State Projects
throughout the year and prepare a final
report to be read at the Evening Busi-
ness Session at convention and be pub-
lished in the Pan Am Times issue fol-
lowing the convention.
Section 4. DUTIES OF RECORD-
ING SECRETARY. The Recording
Secretary shall serve as Chairperson of
the Resolutions Committee and keep
an accurate record of the proceedings
of all regular and called meetings of the
Board of Directors, the State Conven-
tion, and the meeting of the House of
Delegates. In addition, the Recording
Secretary shall:
(a) Transcribe and submit the min-
utes to the Central Office one week
from date of meeting.
(b) Type an original and a copy of
the minutes of each meeting and send
one copy for the Central Office to be
edited, mimeographed and sent to each
member of the Board of Directors. The
other copy for the Secretary’s files.
(c) Report the resolutions to the
House of Delegates at Convention.
Section 5. DUTIES OF STATE
SPONSOR. The State Sponsor shall
serve as Chairperson of the Bylaws
Committee and shall advise the Presi-
dent and the Central Office staff con-
cerning all matters pertaining to the
Pan American Student Forum and shall
provide constructive leadership for the
development of its program. In addi-
tion the State Sponsor shall:
(a) Assist sponsors of all clubs with
suggestions, by letter or through the
Pan Am times, for the orderly devel-
opment of their program.
(b) Provide and prepare the agenda
for the Sponsors Meeting at the State
Convention.
(c) Conduct Sponsors Workshop at
the State Convention.
Section 6. DUTIES OF PROGRAM
DIRECTOR. The Program Director
shall serve as Chairperson of the Pro-
gram Committee and shall conduct the
program of the State Convention with
the assistance of the Board of Direc-
tors and the Central Office. In addition
the State Program Director shall:
(a) Assist the Central Office during
the summer in preparing the Program
Bulletin, which contains program ma-
terial and suggestions for the ensuing
year.
(b) Plan theme and programs of
Convention beginning with Student
Mixer on Thursday through the “Gran
Baile” on Friday.
(c) Plan and design Noche
Panamericana and incorporate in the
Program Bulletin how chapters can
participate.
(d) Assist the Central Office in as-
signing clubs to be in charge of the dif-
ferent Convention activities as outlined
in the Program Bulletin.
Section 7. DUTIES OF EDUCA-
TIONAL ACTIVITIES DIRECTOR.
The Educational Activities Director
shall serve as Chairperson of the Edu-
cational Activities Committee and
shall:
(a) Select the number and types of
workshops for the State Convention
and present these to the Board of Di-
rectors for their approval at the second
meeting following the State Conven-
tion.
(b) With the assistance of the Cen-
tral Office, write letters of invitation to
all chapters who conducted a work-
shop at the previous State Convention
and also to all other chapters inviting
them to conduct a workshop.
(c) Coordinate, with assistance of
the Central Office, all details related to
the workshops, such as guides, seating
requirements, physical set-up, and
special equipment needed.
Section 8. DUTIES OF PUBLIC-
ITY DIRECTOR. The Publicity Direc-
tor shall serve as Chairperson of the
Publicity Committee and shall be re-
sponsible for publicizing PASF
through the news media as follows:
(a) With the assistance of the Cen-
tral Office will write news releases to
be mailed to all newspapers in Texas
where PASF chapters exist to pub-
licize PASF highlights, the State Con-
vention, outcome of state elections,
scholarship winners, and other events
of importance to the organization.
(b) Remind chapter reporters
through the Program Bulletin and by
articles in the Pan Am Times to submit
their local chapter news to the Central
Office for publication in the Pan Am
Times.
(c) Write articles for Pan Am Times
encouraging all chapters to publicize
PASF in their local communities.
Section 9. DUTIES OF SPONSOR
DIRECTORS. Each Sponsor Director
shall be designated by the President as
an assistant to the following officers:
State Sponsor, State Program Director,
Education Activities Director, and
Publicity Director. The Sponsor Direc-
tors shall serve as vice-chairpersons of
the committees chaired by the director
they assist and shall perform such
other duties as may be prescribed by
those directors.
Section 10. DUTIES OF STUDENT
DIRECTORS. Each Student Director
shall be appointed by the President to
serve as chairperson of the following
committees: Nominations, Creden-
tials, and Elections. The duties of each
Student Director shall be the same as
the functions outlined for the commit-
tee which they chair.
Section 11. FAILURE TO PER-
FORM DUTIES. Any elected officers
failing to perform the duties of office or
attend board meetings without a rea-
sonable excuse, must be replaced by
the Board of Directors.
Section 12. DUTIES OF BOARD
OF DIRECTORS, (a) The Board of Di-
rectors determines the policies and
general program of the Pan American
Student Forum of Texas in all its
phases, supervises ways and means of
forwarding the aims and welfare of the
forum, and when a vacancy occurs in
any office, provides for the vacancy to
be filled.
(b) The Board of Directors may
meet at any time when it determines
that the best interests of the forum re-
quire it. At least two meetings must be
held within each fiscal year. Ten days
notice in writing of the annual meetings
or any special meetings must be sent
each member of the Board of Directors
with a copy of the agenda for that meet-
ing. A majority of the members present
at a meeting constitutes a quorum for
the transaction of business. A majority
of the members present and voting is
required for any action to be valid.
(c) Each Board member shall submit
a program report of his/her activities
no later than the 1st day of each month
from September 1 to March 31.
Section 13. EMERGENCY PROVI-
SION. The Board of Directors is em-
powered to act according to its best
judgment on matters of importance
which may arise between State Con-
ventions with due consideration for the
provision of the bylaws. If an emer-
gency should arise which demands a
decision contrary to the bylaws, such
