(c) Distributor shall maintain complete and accurate books of account relating to the manufacture and
sale of ARTUNKS. Licensor or its duly authorized representative shall have the right, upon written request, to
examine and make extracts from said books of account insofar as they relate to this Agreement. Expenses of
such examination shall be bome by Licensor unless errors in accounting in Distributors favor amount to five
percent (5%) or more of the sums paid to Licensor are found, in which event such expense shall be bome by
Distributor. All relevant books of account and records of Distributor shall be kept available for at least three
(3) years after the termination of this Agreement.
B. This Agreement is expressly subject to-any and all prior or superior legal rights possessed by the
copyright holders of each of the reproductions set out in Exhibit "A".
C. Distributor agrees to use its best efforts to distribute and produce ARTUNKS in a timely fashion so
that Purchasers are satisfied with the time from the initial order to the receipt of the materials.
D. Distributor will pay Licensor any license fee at least once, but no more than, twice a year for maI .
materials sold during the preceding period.
IV. TERM iNr aosmneunef .
A. Distributor and Licensor mutually agree that this Agreement is for five ( years beginning
4 , 19_92_, at which time it may be automatically renewed from year to year
hleeee- at least ninety (90) days prior to the original expiration date or any annual renewal date that this
Agreement will be renewed, unless this Agreement is terminated earlier by any of the following occurrences:
r &- 1. Death or incapacity of Distributor;
Rz' ANYM/ 74-W r a 2. A material change in ownership of Distributors business;
3. Bankruptcy or insolvency of Distributors business;
4. Failure of Distributor to maintain adequate facilities or properly service Purchasers; or
5. Breach of any covenant in this Agreement;
If for any reason Disributor ceases, before termination of this agreement, to sell ARTUNKS, Distributor
shall provide prompt written notice of its decision to Licensor. Distributor shall have the right, but not the
obligation, to continues to sell the remaining Iwentory under the terms of this Agreement or the Distrbutor may
offer the materials to the Licensor at the Distributors cost.
B. Licensor may terminate this Agreement at any time if it finds that Distributor'
1. is not complying with the terms of this Agreement, including, but not limited to, falng to fully
advise Licensor of all sales;
2. is making claims or representations that are not true or are libelous; or
3. has filed a cause of action against Licensor alleging negligence by Distributor. ' Dtas/'r A rsref

C. In the event of cancellation or expiration of the term of this Agreement, whichever shall be the case,
the exclusive license conveyed insthis Agreement shall cease and shall then belong exclusively to Licensor or
