established business, and that neither party is the partner or legal representative of the other, nor does either
party have the authority to bind the other to any legal obligation. Neither party will be liable to the other in
connection with any termination, expiration, or nonrenewal of this Agreement for any indemnity, reimbursement,
or damages on account of loss of clientele and/or prospective profit, or for any compensation for anticipated
sales, or on account of expenditures, investments, or other commitments made in connection with this
Agreement, carrying out the parties obligations hereunder, or otherwise. Neither party will be liable to the other
in any event for consequential damages.

Distributor may prepare promotional and sales materials describing ARTLINKS, and Distributor agrees to
indemnify, defend, and hold Licensor harmless from and against any and all loss, liability, claims, suits,
demands and judgments to which Distributor may be subject or suffer by reason of the untruth of any
representations or warranty made by Distributor, except insofar as such representations or warranties are made
in reliance on information provided or approved by Licensor.
P. Loss or Destruction. Distributor shall not be liable for loss or damage or destruction to any property
of Licensor during the term of this Agreement. Licensor shall assume all risks of such loss or damage.
0. Distributor shall notify Licensor of any possible infringement on the copyrights or breach of this
Agreement, relating to ARTLINKS by third parties and agrees to assist and cooperate in resolving any and all
such breaches and infringements.
R. Distributor agrees to return all written and printed materials obtained from Licensor after that
material is no longer needed by Distributor for the purpose of carrying out this Agreement.
Wherefore, the parties, Intending to be legally bound, have signed their respective names in the spaces
indicated below on the dates noted.
