8. Any time gross proceeds exceed costs to date, net
profits as defined in paragraph 5 will be payed
to Parlee on quarterly basis.
9. CINEWEST agrees to provide PARLEE with 2 3/4" video-
cassettes and 3 " videocassettes of the Film at
cost. CINEWEST agrees to provide PARLEE with bro-
chures and publicity materials to promote the Film.
10. PARLEE has the right to show the Film without cost
for speaking engagements and promotional presentations
which are mutually agreed upon by CINEWEST and PARLEE.
It is understood that every effort will be made to get
the sponsoring organization of these events to rent
the Film. All rental queries shall be referred by
PARLEE to CINEWEST.
11. CINEWEST agrees that all publicity, press releases,
printed materials for the Film which give credit
to the personnel involved in the making of the Film
will include PARLEE. CINEWEST agrees to the degree
possible to keep PARLEE informed of all promotional
and publicity activities, including film festivals,
concerning the Film.
12. CINEWEST agrees to give Parlee full and complete
access to and the right to use all photographs,
videotapes, audio-tapes and materials gathered for
the production of the Film (see paragraph 16).
13. CINEWEST agrees to pay PARLEE 45% of all monies or
other consideration received from KPBS-TV as defined
in Paragraph 4 of "Contract between KPBS-TV and CINE-
WEST PRODUCTIONS for Fronteras: Pedro J. Gonzalez,"
dated April 5, 1983, which is incorporated into this
contract by reference.
14. CINEWEST agrees to actively pursue the sale of the nine
hours of video interviews recorded for the production of
the Film to colleges universities, public and private
libraries as video archival material. CINEWEST agrees
to pay PARLEE 40% of the gross proceeds from the
archival sales less the duplication costs of the video
cassettes and the costs of preparation of the written
transcripts of the videocassettes.
15. In the case of any event that would frustrate the pur-
poses of this contract or in the case of a dispute over
the terms, both parties agree to submit the matter to
arbitration. Both parties agree to follow arbitrator's
decission for distribution and marketing. A standard
arbitration clause will be signed by both parties to
insure this procedure.
