Bylaws of the Texas Stonewall Democratic Caucus
Article VI. The Executive Board (re-number as Article V)
Section 1. The officers of the Caucus, the presidents and the vice presidents or co-chairs (er their
autherized-representatives) of all local lesbian, gay, bisexual, transgendered Stewafll
Democratic Clubs in Texas, the SDEC Delegates, and the duly elected Texas Board members
of the National Stonewall Democrats shall constitute the Executive Board.
Section 2. The Executive Board shall have general supervision of the affairs of the Caucus
between its business meetings, fix the hour and place of meetings, make recommendations to the
Caucus, and shall perform such other duties as are specified in these bylaws. The Executive
Board shall be subject to the orders of the Caucus, and none of its acts shall conflict with action
taken by the Caucus.
Section 3. The Executive Board shall meet at the discretion call of the President or of a majority
of the Executive Board. Notice of all meetings of the Board shall be given to each member of the
Executive Board by mail, e-mail or by telephone at least seven (7) days prior to the meeting date.
A majority of the Executive Board shall be required for a quorum. At the discretion of the
Executive Board, meetings may take place by telephone conference call 3y-mii!,pvmk.

member of the Executive Board shall be entitled to one vote; no proxy voting is permitted except
in the case where a member holds two positions on the Executive Board in which case that
member may appoint another member of her or his local Club to serve as her or his proxy for
one of those positions. A member of the Executive Board must have her or his dues current in
order to vote at any duly called Executive Board meeting. Executive Board members who do
not have their dues current shall not be counted for purposes of determining a quorum.
Section 4. Any ( ticer vacancy occurring on the Executive Board shall be filled by nomination
of the leei t si4 in' memb5 31 :c - !hx a and confirmation by a majority of the
Executive Board in attendance at a properly called meeting. In the event the office of
President becomes vacant, any member of
tE Ee cu ti v e Board will nominate a new President with confirmation by a
majority of the Executive Board in attendance at a properly called special
Executive Board meeting. These individuals shall serve the remainder of the
term for which they have been confirmed.
Section 5. Any Executive Board member, whether elected or appointed, may be removed for
cause by a two-thirds vote of the Executive Board at any duly called meeting with a quorum or a
two-thirds majority of the Members present and voting at a properly called Caucus membership
meeting.
Article VII. Committees
Section 1. The following shall be the standing committees of the Caucus:
" Club Development and Credentials Committee - To develop new clubs, recruit new
Members and verify membership credentials.
o: Communications Committee - To
coordinate the public relations for the Caucus.
" Endorsement Committee - To advise the Executive Board on potential endorsements and
procedures.
" Finance Committee - To fund the Caucus and to recommend the financial policy of the
Caucus to the Executive Board. The Treasurer shall be the chair of this committee.4
