KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF GALVESTON:
That I, D. W. KEMPNER, of Galveston, Texas, have made, constituted
and appointed, and by these presents do make, constitute and appoint Re I.
Mehan of Galveston, Texas, my true, sufficient and lawful attorney-in-fact,
for me and in my name, place and stead, to appear before the United States
Treasury Department and all subordinate officers and bureaus thereunder, to
receive but not to endorse and collect checks in settlement of any refunds,
and to execute and file all necessary claims, returns and papers, including
consents agreeing to a later determination and assessment of taxes than is
provided by the statutes of limitation, closing agreements relative to the
tax liability, and waivers of the right to file an appeal with the Tax Court
of the United States, in all matters connected with my Federal Gift Tax
liability and claims in relation thereto for the year 1947, giving and grant-
ing to my said attorney-in-fact full power to do and perform all and every
act and thing necessary or advisable to be done in this matter, as fully as
I might do if personally present, with full power of substitution and re-
vocation, hereby ratifying and confirming all my said attorney-in-fact shall
lawfully do or cause to be done by virtue hereof.
It is requested that a copy of all communications regarding any
matter in which said attorney is hereby authorized to act be addressed to:
R. I. Mehan, United States National Bank Building, Galveston, Texas.
All powers of attorney for this purpose heretofore filed or exe-
cuted by the undersigned are hereby revoked.

Before me, the undersigned authority, on this day personally appeared
D. W. Kempner, known to me to be the person described in and who executed the
foregoing instrument, who, being duly sworn, states that he executed the same
