Dear Mr. Kempner:
Mn Friday last I received your letter of Novem-
ber 21 together with the original of Mr. Blackshear's memo-
randum of the same date. This morning I received the carbon
copy of Mr. Blackshearts memorandum together with the various
encIosures mentioned in his memorandum.
Your remarks with respect to the attitude of
the Internal Revenue Service fully state my own attitude
towards their arbitrary methods. The particular agent who
has audited your daughter's returns for the past several
years has given me a great deal of trouble. It is unfortu-
nate that she has to bear the trouble and expense of an
audit each year but all entertainment expenses are suspect
today particularly in the New York audit districts. She
once asked me whether it would not be better to forget about
deducting these expenses but inasmuch as her New York State
resident income tax is so substantial each year, it would not
pay her to take the $1,000 Standard Deduction. I will try to
keep my charges down to the absolute minimum and in any event
they are deductible on both the Federal and New York State
returns.
I plan to sit down with the revenue agent either.
late this week or early next week and hope to arrive at a.
fair settlement. You may rest assured that I will do every-
thing I can to protect your daughterts interest.
I note fror. your letter that you have referred
to your local attorney the matter of the identity of the
corporate fiduciary under your daughter ts will. ,You might
ask him to consider the advisability and propriety under the
Texas laws of o@ putting a brief codicil on her will naming-
the Galveston bank as the executor "but if it may not qualify
as executor under the laws of the State of New York that the
X bank of New York City shall then qualify as such executor"-'
