Is known as the Jasper County Lumber

The action of the Maryland Trust com-
pany trustee in appropriating and using
all that part of the cash paid on the tim-
ber Installment August 1 190S not paid
to the certificate holders. Instead of ap-
plying the same to the payment of divi-
dends on the preferred stock of the ot
company or holding same for that pur-
pose Is ratified and a draft signed by
Patrick Calhoun for $11.S83.70 being
portion of the timber payment is de-
clared of no force.
That there Is now outstanding and un-
paid the certificates described In assign-
ment as series J to R Inclusive and $55000
par value out of series 8 aggregating
715.21. together with Interest and that
there is still outstanding preferred stock
of the Houston Oil company of Texas of
the par value of $9753600. upon which
there are accrued dividends at the rate of
6 per cent per annum dde from January 1
190.1. nnd that there Is due to the Mary-
land Trust company trustee by the
Houston Oil cgmpany as expenses psop-
erly incurred up to May 2 1908. Including
its own compensation as trustee for ser-
vices rendered from beginning of the trust
to the date of thts decree including also
various sums paid to Its attorneys and
yet due to Its attorneys up to July 1 1908

debts Including said $442874 54 amount-
ing to $3500000 including earned and ac-
crued Interest to February 1. IMS.
The timber contract Is construed and
reformed so that It will read that the oil
company Is to furnish to the lumber co"m-
panv not exceeding M0O.0O0.O00 feet of
timber Instead of 8.000000000 as first pro-
vided. PAY FOR YELLOW PINE.
That part of the contract reformed now
reads that the Kirby Lumber company
agrees to purchase and pay for the yellow
pine timber at the rate of $3 per thousand
feet for the first 2SO.000.000 feet; $3.50
per thousand for the next 280.000.000; $4
per thousand for the next 280.000000; $4.60
per thousand for the next 280000000 feet
and $5 per thousand feet for the remain-
der of the timber until the whole of the
yellow pine timber to an amount no ex-
ceeding 6.400000.000 feet shall have been
purchased anil rald for.
It Is agreed that the Herring or Beau-
mont rule so-called shall be used In scal-
ing the timber.
It is also provided in the timber con-
tract as reformed that the Kirby Lumber
company shall pnrchaae in each year
from and after July 1. 1901. during the
continuance of the contract as follows:
Not less than 280.000.000 feet in each year
for the first five years; not less than
320.800 000 feet In each year for the sec-
ond five years: not less than 300.000000
feet in each year for the third five years
end not less than 400000.000 in each year
thereafter and pay for the same at and
after the rates sbove mentioned In equal i
semi-annual Installments on January 10
and July 10 In each year at the office
of the oil company.

An Issue of $3500000 of second timber
certificates Is authorised for the purpose

preferred stock of the oil company la ad-
Judged a third Hen on the trust estate.
These second certificates are to be paid
after the now outstanding timber certifi-
cates are paid A form of the certifi-
cate to be Issued Is Incorporated in the

In order to provide for the payment of
the semi-annual interest on the second
issue limber certificates and also upon
"the claims of creditors who do not accept

uly 1 1908. and every six months there-
after will make a total of eleven pay-
ments of $105000 each and six other pay-
ments aggregating $298000 the last pay-
ment to be made July 1. 11. Arrange-
ments for paying off Interest coupons
and Interest certificates as they mature
have also been made In the decree.

CERTIFICATES FOR CLAIMS.
The Maryland Trust company trustee
is authorized to Issue and deliver to such
creditors as will accept second issue tim-
ber certificates at par for the amount of
their respective claims. Brown Bros. &
Co. will receive for their claim second
issue timber certificates out of the first
two series to the amount of $731088.09.
It is further set forth in the decree that
the Houston OU company owns 222 shares
of Its common stock 8234 shares of Its
preferred stock and $209126 of timber cer-
tificates. For the purpose of paying off expenses
incurred the receiver of the oil company
la authorised to sell to the lumber com-
pany or others such hard woods as they
may be able to use at a price not less
than the maximum price obtained by
others; to sell lots parcels and tracts of
land not adapted for reforestation and
from which the timber has been removed
reserving the oil snd mineral rights. To
sell to purchasers the turpentine priv-
ileges upon such of the lands of the oil
company as the lumoer company wlli con-
sent to nave turpentined.
The Kirby security company having no
interest in the issues and controversies
Involved it is dismissed from the case.
YOAKUM IS DENIED TRAM ROADS.
The proposition pending between Benja-
min F. Yoakum the well known railroad
magnate and the Kirby Lumber company
and its receivers whereby iMr. Yoakum
was to take over the tram roads and
equipments of the lumber company In
payment of an Indebtedness due him and
operate the same in accordance with a
contract existing between him and the
lumber company. Is mentioned in the de-
cree as being denied.
C W. Hillard. trustee for B F. Yoakum
under the agreements existing between
lilrn and the car wheel people gets a
Judgment for $800000 together with Inter-
est from November 1903 at 6 per cent per
annum and also $943 05 expenses which
Judgment Is to be paid In due course of
the Houston Oil company recover
from the Klroy Lumber company 86576.87
due. which accrued prior to the appoint-
ment of the receivers.
That- John H. KlrDy recover of the
Houston Oil Company of Texas the sum
of $17504.96 with interest and that the oil
company recover from J. H Kirby 1460
shares of the preferred stock of the oil
company.
MARBURY MAKES STATEMENT.
W. L. Marbury of Baltimore who ap-
pears as of counsel for the Maryland
Trust company trustee gave out the
following statement yesterday regarding
the settlement of the receivership mat-
ters. "It Is with very great satisfaction that
the Maryland Trust company trustee of
this great estate finds itself able to
announce the settlement of the litigation
which for the last five years has so
greatly Impeded the operation and de-
velopment of the properties of the Hous-
ton Oil company of Texas and the Kirby
Lumber company.
"The final decree entered this morn-
ing by consent of all oartles by Judge
Burns In the circuit court of the United
States f6r the Southern district of Texas
at Houston not only disposes of and
settles permanently this most protracted
and vexatious litigation but provides
means for the financial rehabilitation of
the two companies by providing for the
Issuance to the creditors of each of the
two companies of securities of such
character as will in the Judgment of
those who have been the most reliable
advisers of the trustee Insure the full
payment of all outstanding claims.
"Something like 86 per cent In amount
of the creditors of the Houston Oil com-
fany of Texas have already signified
heir wIlllnKnesfl to convert their claims
Into the new securities thus offered un-
der the decree of the court. Every
creditor who does so Is sssured of hav-
ing his claim established as a Hen not
only upon the trust estate but upon all
the property of tne Houston Oil com-
pany of Texas next in priority to that
or the present outstanding balance of
unmatured tim!er certificates (the first
Hen) amounting to considerably less than
$6000000. The trustee csn not doubt but
that the remaining creditors will also
avail themselves when invited to do so
of the opportunity afforded them by
the court to make themselves secure
without further litigation or expenses.
PROPERTY WORTH $30000009.
"The property of the Houston Oil com-
pany of Texas and the trust estate the
latter consisting of the timber covered
by the Kirby Lumber company contract
and the contract itself according to the
best Information which the trustee has
been able to obtain is of an actual valua
of about $30000000. and It has been the
litigation alone In which this property
has been so long entangled that has
prevented the realization and develop-
ment nf that value
"During 1801 and 1902 the Houston Oil
company of Texas acquired large tracts
of land for its oil business situated In
the well known East Texas oil district.
Including the Corslcana oil field and a
controlling Interest In the Biggins OH
and Fuel company properties.
Upon this land so acquired for Its
oil
business there was standing- very
large
quantities or yel
yellow pine timber.
for which timber of course the Hous
ton Oil company of Texas had no need In
the conduct of Its business.
' The Houston OH company of Texas
therefore entered Into a contract witlr
the Kirby Lumber company. In the sum-
mer of 1301 for the sale to the Klrby
Lumber company of the timber thus
standing upon the lands which It already
had and certain additional lands which
It contemplated' acquiring at thai time
some of which lands It subsequently did "
acquire and some of which it Mid not

-f stumpage at that time it wks then
believed as baa since proved to be a fact
that owing to the natural rise In the
ulue of thetlmber owing to the ever
decreasing quantity there wu ihl be large
profits to the Kirby Lumber "inpany in
manufacturing under this contract after
the earlier years of the contract were
passed.
"According to the construt tl on placed
upon this timber contract by the Klrby
1. limber company the Houston tin Com-
pany of Texas had obligated n-elf to ac-
quire the additional lamls containing tim-
ber which would make the total amount
which It would be able to deliver to the
Klrby Lumber company and would have
to carry for Its benefit eight billion feot.
"The Interpretation ot the Houston Oil
Company of Texas anil the Maryland
Trust company trustee to whom the
contract was assigned by the Houston
OH Company of Texas to secure the pay-
ment of the timber certificates and pre-
ferred stock Issued by the Houston Oil
Company of Texas wa that the Houston
Oil Company of Texas had nut obligated
Itself to acquire all the additional lands
cr any part of them which It did not
deem It for Its own best interests to ac-
quire for the conduct of Its oil business
ami had only obligated Itself to deliver
to the Klrby Lumber company the tim-
ber on the lands which It then hand and
such as It might choose thereafter to
acquire for the purpose of its oil business.
how LrnerATioN arose.
"Out of these controversies mainly
arose this litigation. There were other
numerous Issues involving title to vari-
ous tracts of land questions as to wheth-
er they constituted part of the trust es-
tate questiohs as to rights of the trustae
In the milling plants in case the Klrby
Lumber company defaulted in payment
to the Maryland Trust company trustee
as assignee of the contract; and also as
to the true construction of that portion of
the timber contract relating to the metn-
od of measuring or aca.llng of timber but
the main question was that first above
stated and the Kirby Lumber company
claimed large damages against the Hous-
ton Oil Company of Texas on account of
these differences in the quantity of the
timber as an offset against the payments
due by it under the umber contract.
"All these maters have not only been
adjusted In Judge Burns' decree but ad-
Justed In a manner which seems to have
given great satisfaction to all parties and
certainly to the trustee.
"In lieu of Its cialm for damages
against the Houston Oil Company of
Texas the Kirby Lumber company has
accepted the constru tion of the timber
contract which fixes and establishes the
proposition that according to the true
construction of the contract it was a con-
tract to sell to the Klrby Lumber com-
pany an amount of timber riot exceeding
6400.000000 feet that beini; the amount
estimated by the experts t be upon the
lands which actually were acquired by
the Houston Oil Company of Texas but
that the Klrby Lumber company Instead
of paying the full amount of semi-annual
fiayments named in the contract orlginal-
ywhen It was supiwsed that 8.000000000
feet should be acquired should only be
required to pay 64-M) of that minimum
and the right of forfeiting the contraot
should not be exercised by the trustee so
long as 8 1-8 per cent of this mlnimu'it
payment were paid by the Klrby Lumrwr
company which amounts to $1.50000 per
annum instead of $2000000. as would have
been necessary under the original fig-
ures. In other words that these original
figures did not express the true intent of
the parties to the contract In view of the
fact that the Houston Oil Company did
not acquire oil lands containing fully
8.000000000 feet of timber.
"This of course was a concession of
enonnous value to the Klrby Lumber .
company. It does not change in any way
the prices to be paid for the timber or
the amount to be ultimately realized by
the Houston Oil Company of Texas out
of the 6400000.000 feet but it extended the
time for payment and diminishes the
amount of the minimum semi-annual pay-
ments to be made by the Klrby Lumljer
company so as to enable It so much more
easily to meet Its obligations In the futuro.
At the same time the Income of the Hous-
ton OH Company of Texas will be suffi-
cient to meet its maturing obligations in-
cluding the Interest on the second Issue
timber certificates provided for Its cred-
itors under the decree.
ADJUSTMENT REGARDED BENEFI-
CIAL. "The trustee could never see that any
real benefit could result to the trust es-
tate or to the Houston OU Company of
Texas from attempting to impose upon
the Kirby Lumber company any obliga
tions greater than it could easily bear
and It regards the adjustment of this
matter as being quite as beneficial to
the trust estate and the Houston Oil
Company of Texas as It undoubtedly will
be to the Klrby Lumber company.
"The terms of the settlement between
the trustee and the Klrbv Lumber com-
pany Interests were practically agreed on
some months aku but the trustee was
very anxlo is. when the settlement was
made that it should be one satisfactory
to all Interests. A great deal of labor
has been extended during the last few
months In Kitting -the decree Into a
shape that wouhl meet the views not only
of the Klrby Lumber company and the
trustee but the various security holders
and creditors of the Houston Oil Com-
pany of Texas. snd after having been
submitted to the representatives of every
one of these interests and having re-
oefved their conM.-U approval and no ob-
