CHARGES AGAINST HECEIVERS
Chicago December 28 Tho Northern
Pacific Railroad company by Silas W
Pettit of Philadelphia Rs general counsel
Bled today In the circuit court of the
United States at Atllwaukec a petition for
the removal ot Thomas F OnUcs Henry
C Payne and Henry C Rouse the pres-
ent receivers and tho appointment Of
other receivers in their places The pe-
tition sets out that Oukes us piesidult of
the company uppolntcd it G Rolston
president of the Paimera Loan and Trust
company of New York which is trustee
of most of the main and branch Una mort-
gages of the Northorn Pacific Railroad
company chairman of the finance com-
mittee ot the Northern Pacific directory
Tho petition then states that when the
OakesRplston board tpok chirge of the
Northern Pacific it was In good financial
condition with high credit in fact a
paying property
The petition Jhtn goes on to say that
the OakesRolston poard managed do In-
crease tho interest charges of the North-
ern Pacific company principally by tho
acquisition of properties none of which
except one has ever paid the cost of
opeiation and fixed charges and many of
Which do not even pay the co3t ot opera
lion and the petition further charges that
in several Instances and those the most
disastrous to tho company tho otllcers
and board of directors themselves were
Interested In selling properties to tho
Northern Pacific company at exorbitant
profits to themselves
The story of tho collapse of the Northern
pacific Is then set out in detail naming
particularly each or tho railroads acquiied
by the Northern Pacific company and
which tho bill declares completed Its ruin
within the year of the OakesRolston
board getting Into power It Is declared
in all theso transactions that Thos 1
Oalccs oh vice president and R G Bols
ton as chairman of TTie finance committee
took an active part in violation of raelr
duty to the Northern Pacific Ballroad
company and that Rolston as chairman
of the finance committee through hlniBclt

aided In

the Increase pf tho obligations of the
Northern Tactile Railroad company w
It was loaded down with

ror these reasons ho court Is asked m

great properties have been exploited by
those on the Inside while tho great muss
ot the people Interested have had to Bhout
for their money It we can get ogcther
enough stoekholders and there ought to
be no dlffleulty In fiat Wo will demand
that these companies be organized upon a
Just basis and that our Interests be re
gaided Aly plan Is to scale down tho
bonds vv hlch are bearing 6 and 7 per cent
sis 4 or G per cent and then convert
all the other htock preferred or common
into one class of security say Into a sec-
ond mortgage Iwnd By this method tha
common stockholders can be paid a small
percentage upon their holdings from tho
amount scaled off tho first mortgage
bonds Wo shall nltcmpt to have this done
on a uniform basis by all those roads
which ore In tha hands ot a receiver
WHAT THE RECEIVERS WILL DO
