compelled to break the news to
their readers that all is not well,
that the sense of safety, security
and tbo undoubted prospect of an
uninterrupted prosperous run ot
their "administration," installed
and operated] iu violation of law
and deceucy has been assumed and
not a reality. At last the people
will realize that these papers have
been lnlling them with lalse assur-
ances ot'"safety.'' Not one of all
the Democratic papers ot the State
has there been to warn the people
that Texas was being run upon
breakers by the reckless crew at
the helm. Noue but Republican
papers have given the warning. So
much for the insincere, unreliable
leadership of the Democratic press.
Now for what has caused tliem to
confess their fears: On Weduesday
Senator Morton presented to the
Senate a long memorial recitiug the
facts by which the existing govern
uient iu Texas had got possession
and how it was going ou, and ask-
ing for interference and relief.
Other similar memorials are behind
and yet to be offered, Senator Flan-
agan holding one. On the memori-
als are some of the most eminent
and honored names of Texas. This
is the cause for the uuconcealed
trepidation. Now, we are not sure
that Congress will at present put a
stop to the existing dc. facto govern-
ment in Texas. That there is abun-
dant reason and law lor Congress'
doing so, and that it would be as
good as the Democrats deserve, we
have no doubt. But we have great
confidence iu that fatuity or provi
deuce which brngs < v;i 'tts to a
halt at the end it i r o-vii rope,
and the evil doers which we com-
plain iu Texas would seem to be
fast neariwg the end of theirs. But
should Congress conclude to take
up Texas afiairs now, and the Dem-
ocratic leaders should go on to
Washington in their defense, what
could they say 1 They could only
say, We have a majority of fifty
thousand iu Texas; by this majori-
ty we have been enabled to trample
on law and the rights ol the minori-
ty with impunity; by this majority
we got possession of the govern-
ment betore Gov. Davis's term ex-
pired ; by this majority wo were en-
abled to disregard a decision of the
Supreme Court; by this majority
we have been able to rout the gov-
ernment chosen by the people of a
leading city of Texas; by this ma-
jority we put out the £uperinten
dent of Education and the Superin-
tendent ot Immigration in plain de-
fiance of law ; by this majority we
have been able to oust judges by
the wholesale, good, staunch, hon-
est men, appointed for eight years.
This is all they could say. It would
all be by the virtue ot the fifty
thousand and not by virtue ot law
or justice.—Waco Register.
being the majority, received certain secret
benefits for procuring a compromise of
claims, which the European Company had
against other parties, anil thereupon ihe
plaiutiif (the miuerity shareholder) sued
Hoopei's Telegraph Company for an ac
count. The defendant demurred (!) that
shareholders were not trustees for their
companies and that Hooper's Company
had a right to vote iu the European, for
the protection of their own interests, and
that only the European Company itself
had a right, to sue—not. the minority, who
had opposed the proceedings. These points
were entirely ovci'ruled.t.heLords Justices
ot Appeals iu Chaucery deciding that the
majority of a corporation could not divide
any portion or kind ot assets of tbe coui-
pany among themselves alono, aud that
"no doubt a shareholder might be allowed
to vote for his own inteicst alone, hue he
could not lie al owe.I to sell the as els of
the company for his own exclusive bone-
tit." The case aud the decision are, in fact
and in equity, closely related to prospuc-
tive eases in this country, arising t'roiu the
leasing of railroad and telegraph liues,
aud the creation of' inside" corporations
against tile will of suffering minorities.
